About Ashley Thayer

Ashley brings 15 years of experience across the oil and gas industry, corporate real estate, and private practice. In her ten years working for a large, international oil and gas company, she held positions within the Commercial, Land, and Legal departments across the company’s Lower 48, Alaska North Slope, and international assets, focusing on development programs, surface & subsurface access, and acquisitions & divestitures – spanning from multi-billion-dollar transactions to individual wellbore assignments and data trades. Prior to her career in the energy sector, Ashley worked in corporate real estate for Target Corporation, and represented a national restaurant chain in managing its real estate holdings.

  • Drafted and negotiated numerous agreements for the development and operation of COP-operated Kuparuk Field (Alaska North Slope), including surface access, facility sharing, road use (gravel and ice road), seawater sales, hydrocarbon processing, and cost-sharing
  • Responsible for the administration and adherence to operating agreements, unit agreements, and master service agreements, and amending and restating as
  • Provided legal support to COP’s L48 Land Department by drafting subsurface easement and right-of-way agreements, water use agreements, purchase and sale agreements, assignments, and other documents supporting asset dispositions.
  • Supported Latin America Exploration in the structuring and drafting of farm-in agreements for the development of COP’s assets in Colombia.
  • Drove divestiture efforts of COP-operated Magnolia platform by drafting and negotiating confidentiality agreements, managing the data room, leading management presentations, drafting purchase and sale
  • Managed and administered offshore operating agreements, analyzed and processed offshore ballots in excess of $100MM net annually.
  • Key asset disposition team member driving the $3bn divestiture of 1 million net mineral acres and 13,000 wells across state, federal, fee, and tribal lands.
  • Led acquisition and divestiture opportunities through the due diligence, valuation, negotiation, and offer/acceptance
  • Drafted, negotiated multitude of legal and transactional documents, including complex federal unit farmout agreements, purchase and sale agreements, assignment documents, and letter
  • Prepared and presented oil & gas permit applications to City Council for all new drills within city limits
  • Acted as second chair to the State of Alaska’s Independent Counsel in ethics investigation into  former Alaska Governor Sarah Palin’s Legal Defense Fund by: drafting and preparing all deposition outlines and exhibits, assisting in all witness depositions, including deposition of the former Governor, and assisting in the drafting of the final Findings, Consent Decree, and Settlement Agreement released to the public in June 2010.
